Over $1.3 Billion Invested in North American C4! ENEOS Acquires TPC to Break into the Top Tier of Butadiene Producers

Japanese energy and chemical giant ENEOS Holdings has officially announced an acquisition plan to acquire U.S. C4 chemical producer TPC Holdings, Inc.. Upon the completion of this transaction, ENEOS's total butadiene production capacity will rank third globally, marking a significant adjustment in the competitive landscape of the global butadiene industry.

It is reported that ENEOS is implementing the acquisition through a special acquisition entity established by its U.S. wholly-owned subsidiary, and the parties have signed a merger agreement. The transaction is still subject to antitrust reviews in relevant regions and is expected to officially close in October 2026; after closing, TPC will become a wholly-owned subsidiary of ENEOS's High Performance Materials business. According to industry estimates, the overall valuation of this transaction is approximately USD 1.3 billion.

TPC Holdings is a core enterprise in the North American C4 industry chain. Relying on production bases along the Gulf Coast and a comprehensive storage and logistics system, its products such as butadiene, raffinate, 1-butene, and polybutene hold leading market shares in North America, possessing the advantage of a stable and low-cost shale gas feedstock supply.

For ENEOS, this acquisition is a core project for asset optimization under the Group's Fourth Medium-Term Management Plan. On one hand, it rapidly secures low-cost C4 resources in North America, complementing its overseas raw material bases; on the other hand, it links with its own elastomer production capacities, such as solution-polymerized styrene-butadiene rubber (S-SBR), to build an integrated "C4 raw materials—butadiene—synthetic rubber" industry chain.

Industry analysis indicates that with ENEOS completing its capacity integration, the ranking of top global butadiene manufacturers will change. The domestic butadiene supply landscape in North America will be affected, which may alter cross-regional butadiene trade flows in the long term, creating a chain reaction across the global synthetic rubber industry. It is necessary to continuously monitor the approval progress, facility operation plans, and changes in cargo flows between the Asia-Pacific and North American regions.
