S&P Global's $14.5 billion acquisition of Element Solutions falls through
On August 27, high-performance materials firm Solstice Advanced Materials and specialty chemicals company Element Solutions jointly announced that they have reached an agreement to terminate the merger agreement under which Solstice Advanced Materials would acquire Element Solutions, and no party will need to pay relevant fees to the other party.
Back in July this year, the two companies officially announced this $14.5 billion (about 98.5 billion yuan) merger and acquisition transaction, which once became a highly watched large capital event in the global specialty materials industry.
According to the original plan, after the completion of this acquisition, a comprehensive electronic materials enterprise covering the entire chain of semiconductor manufacturing, packaging and assembly would be born. Through this merger and acquisition, Solstice Advanced Materials planned to further lay out the artificial intelligence infrastructure track, strengthen its market competitiveness in the fields of data center cooling and refrigeration solutions, and seize the opportunities in the booming electronic materials market.
Regarding the termination of the transaction, Rajiv Gautam, chairman of the board of Solstice Advanced Materials, said that the boards of directors of the two companies unanimously agreed that terminating the merger agreement is more in line with the overall interests of their respective shareholders, employees and customers.
Ian Ashken, chairman of Element Solutions, also stated publicly that although the proposed merger had sufficient logic in terms of strategic positioning and finance, after comprehensive feedback from shareholders and multi-round communication and assessment between the two sides, the board of directors reached a consensus that maintaining independent operations for the two enterprises could better serve their respective shareholder groups.
According to public information, Solstice Advanced Materials is a global high-performance materials listed company, which completed its spin-off from Honeywell and was officially independently listed on October 10, 2025. The company's business is divided into two segments: refrigerants and application solutions, and electronic and specialty materials. It has 24 production bases and 4 R&D centers globally, with a workforce of about 4,000 employees.
Element Solutions mainly operates specialty chemicals, whose products are widely used in electronic manufacturing, surface treatment, industrial processing and other fields. The company achieved net sales of $2.55 billion in 2025, owns 62 manufacturing and R&D bases globally, and has about 5,200 employees.
The sudden termination of the billion-dollar M&A deal in just two months also reflects that capital decisions in the global specialty chemical and electronic materials industries are significantly affected by shareholder demands and market expectations. The two companies will continue to advance their respective business development as independent entities in the future.
